Terms of Use

1. Agreement to Terms

By accessing or using the services of GridSpace Warehousing Inc. ("GridSpace," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you disagree with any part of these terms, you may not access our services.

2. Service Description

GridSpace provides warehouse rental and logistics services across Canada. Our services include:

• Short-term Warehouse Rental
• Long-term Warehouse Leasing
• Shared Warehousing
• Dedicated Warehousing
• Inventory Management
• Order Fulfillment
• Pick and Pack Services
• Cross-Docking

3. Rental Terms and Conditions

3.1 Minimum Rental Period

The minimum rental period is 1 month.

3.2 Security Deposit

A security deposit of First and last month rent is required for all warehouse rentals.

3.3 Payment Terms

Rental payments are Due on the 1st of each month. Late payments will incur a fee of 2% per month.

3.4 Notice Period

Termination of rental agreements requires 30 days written notice.

4. Acceptable Use Policy

You agree to use our warehouse facilities only for lawful purposes. Prohibited activities include:

• Storage of illegal, hazardous, or prohibited materials without proper authorization
• Activities that may damage the facility or endanger others
• Violation of fire codes, safety regulations, or building codes
• Storage exceeding weight limits or space allocations
• Unauthorized subleasing or sharing of warehouse space

5. Client Responsibilities

As a client, you are responsible for:

• Maintaining appropriate insurance coverage for stored goods
• Compliance with all applicable laws and regulations
• Accurate reporting of stored materials
• Timely payment of all fees and charges
• Proper use of equipment and facilities
• Following safety and security protocols

6. Insurance Requirements

Clients must maintain adequate insurance coverage for their stored goods. GridSpace maintains the following insurance:

• Liability Coverage: CAD $10,000,000
• Property Coverage: CAD $50,000,000
• Provider: Intact Insurance Company

7. Limitation of Liability

GridSpace shall not be liable for:

• Damage to or loss of stored goods due to force majeure events
• Losses exceeding the value declared by the client
• Indirect, incidental, or consequential damages
• Business interruption or lost profits

Our total liability is limited to the lesser of the actual loss or six months of rental fees.

8. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of GridSpace or its licensors and is protected by Canadian and international copyright laws.

9. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA).

10. Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to clients.

11. Termination

We may terminate or suspend your access to our services immediately if you breach these Terms of Use or engage in conduct that we deem inappropriate or harmful.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by the laws of Ontario, Canada.

12.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada.

13. Indemnification

You agree to indemnify and hold GridSpace harmless from any claims, losses, damages, liabilities, and expenses arising from your use of our services or violation of these Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and GridSpace regarding the use of our services.
